1. Acceptance of Terms
By accessing or using the website at www.sinpar.autos (the Site) operated by SINPAR TECHNOLOGY LIMITED (SINPAR TECHS, we, us, or our), you agree to be bound by these Terms of Service (the Terms). If you do not agree to all of these Terms, you are not authorised to access or use the Site. These Terms constitute a legally binding agreement between you and SINPAR TECHNOLOGY LIMITED regarding your use of the Site.
These Terms apply to all visitors, users, and others who access or use the Site. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site after any changes indicates your acceptance of the revised Terms. We encourage you to review these Terms periodically. The most current version will always be posted on this page with the effective date indicated.
If you are using the Site on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In such case, references to you in these Terms refer to the organisation on whose behalf you are acting.

SINPAR TECHNOLOGY LIMITED provides computer systems design and related services, systems integration, technical consulting, cloud engineering, and security architecture services (collectively, the Services). The Site serves as an informational resource about our company, our capabilities, and our service offerings. Information presented on the Site is for general informational purposes only and does not constitute a formal proposal, quotation, or contractual offer unless expressly stated otherwise.
Detailed terms governing the provision of specific Services are set forth in separate service agreements entered into between SINPAR TECHNOLOGY LIMITED and its clients. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall prevail with respect to the subject matter of that agreement.
3. Website Use and Acceptable Use Policy
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site. Prohibited behaviour includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Site. You must not transmit any viruses, worms, trojan horses, or other malicious code through the Site. You must not attempt to gain unauthorised access to any part of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site. You must not engage in any activity that interferes with or disrupts the Site or the networks or systems connected to the Site. 4. Intellectual Property Rights
4.1 Website Content
All content and materials available on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, underlying code, and software are the property of SINPAR TECHNOLOGY LIMITED, its affiliates, or its licensors and are protected by Hong Kong and international copyright, trademark, and other intellectual property laws. The arrangement and compilation of all content on the Site is the exclusive property of SINPAR TECHNOLOGY LIMITED.
4.2 Limited License
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for your personal, non-commercial informational purposes only. You may download or print individual pages of the Site for such purposes, provided that you retain all copyright and other proprietary notices intact. You may not reproduce, modify, distribute, display, perform, publish, license, create derivative works from, transfer, or sell any content obtained from the Site without our prior written consent.
4.3 Client Deliverables
Upon full payment for Services rendered, ownership of specific deliverables created pursuant to a signed service agreement, including system designs, architectural diagrams, documentation, and software configurations specifically developed for that client, shall transfer to the client as set forth in the applicable service agreement. SINPAR TECHNOLOGY LIMITED retains all intellectual property rights in its pre-existing materials, methodologies, frameworks, and tools used in creating such deliverables.
5. Confidentiality
Both SINPAR TECHNOLOGY LIMITED and its clients acknowledge that they may receive or have access to confidential information during the course of their relationship. Confidential information includes business plans, technical data, system architectures, security assessments, financial information, client lists, and any other information designated as confidential or which reasonably ought to be considered confidential given the nature of the information and the circumstances of its disclosure.
Each party agrees to hold the other party's confidential information in strict confidence, to use such information solely for the purposes of the engagement between the parties, and to disclose it only to those employees and contractors who have a need to know and who are bound by comparable confidentiality obligations. These confidentiality obligations shall survive the termination of any service agreement and continue for a period of five years from the date of disclosure, or indefinitely for trade secrets and proprietary methodologies. Nothing in this section prevents disclosure of information required by law, regulation, or court order, provided that the disclosing party gives prompt notice to the other party where legally permissible.
6. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION AVAILABLE ON OR THROUGH THE SITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SINPAR TECHNOLOGY LIMITED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SINPAR TECHNOLOGY LIMITED DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SINPAR TECHNOLOGY LIMITED OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
YOUR USE OF THE SITE IS ENTIRELY AT YOUR OWN RISK. YOU ASSUME FULL RESPONSIBILITY FOR ANY COSTS ASSOCIATED WITH YOUR USE OF THE SITE, INCLUDING WITHOUT LIMITATION ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM THE DOWNLOAD OR USE OF ANY CONTENT OBTAINED FROM THE SITE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SINPAR TECHNOLOGY LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF SINPAR TECHNOLOGY LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SINPAR TECHNOLOGY LIMITED ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS (USD 100.00) OR THE TOTAL AMOUNT PAID BY YOU TO SINPAR TECHNOLOGY LIMITED FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS PRECEDING THE CLAIM. THIS LIMITATION OF LIABILITY SHALL APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions or limitations may not apply to you. In such jurisdictions, the liability of SINPAR TECHNOLOGY LIMITED shall be limited to the greatest extent permitted by applicable law.
8. Indemnification
You agree to indemnify, defend, and hold harmless SINPAR TECHNOLOGY LIMITED, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site, your violation of these Terms, your violation of any applicable law or regulation, or any content you submit, post, transmit, or otherwise make available through the Site. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defences. This indemnification obligation shall survive the termination of these Terms and your use of the Site.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Any dispute, controversy, claim, or difference arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, performance, breach, or termination, shall first be referred to mediation administered by the Hong Kong Mediation Council in accordance with its mediation procedures in force at the time. If the dispute is not resolved by mediation within 60 days of the appointment of the mediator, the dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre under the Hong Kong International Arbitration Centre Administered Arbitration Rules in force at the time of the dispute. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English. The number of arbitrators shall be one, unless the parties agree otherwise.
Notwithstanding the foregoing, SINPAR TECHNOLOGY LIMITED shall have the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or other proprietary rights without the need to first pursue mediation or arbitration.
10. General Provisions
10.1 Entire Agreement
These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and SINPAR TECHNOLOGY LIMITED regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to such subject matter.
10.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be severed and the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent of the parties.
10.3 No Waiver
The failure of SINPAR TECHNOLOGY LIMITED to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, nor shall it prevent us from enforcing such right or provision at a later time. No waiver of any breach of these Terms shall be deemed a waiver of any subsequent breach. All waivers must be in writing and signed by an authorised representative of SINPAR TECHNOLOGY LIMITED.
10.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. SINPAR TECHNOLOGY LIMITED may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets.
10.5 Relationship of the Parties
Nothing in these Terms shall be deemed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and SINPAR TECHNOLOGY LIMITED. Neither party has the authority to bind the other or to incur any obligation on the other's behalf, and neither party shall represent that it has such authority.
10.6 Force Majeure
SINPAR TECHNOLOGY LIMITED shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, fuel, energy, labour, or materials, telecommunications failures, cyber attacks, pandemics, or failure of third-party technology infrastructure.
10.7 Notices
All notices relating to these Terms shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or sent by registered mail to the address of the receiving party set forth in the applicable service agreement or, for general notices, to the contact address published on the Site. Notices to SINPAR TECHNOLOGY LIMITED shall be sent to Rm S239 2/F The Capital, 61-65 Chatham Road South, Tsim Sha Tsui, Kowloon, Hong Kong, with a copy by email to support@sinpar.autos.
11. Termination
We reserve the right to suspend or terminate your access to the Site, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, confidentiality obligations, and limitations of liability. You agree that SINPAR TECHNOLOGY LIMITED shall not be liable to you or any third party for any termination of your access to the Site.
